Terms of Service

Introduction

These Terms of Service (“Terms”) govern your access to and use of the Kenbright Learning Management System (“Kenbright LMS” or the “Platform”), an internal learning and compliance platform operated by Kenbright Holdings Limited (“Kenbright”, “we”, “us” or “our”). The Platform is designed to facilitate employee training, policy acknowledgement, and compliance tracking across the organisation.

Acceptance of Terms

By accessing or using the Kenbright LMS, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform. Your continued use of the Platform following the posting of any changes to these Terms constitutes acceptance of those changes.

User Accounts

To access the Platform, you must create an account using your company-authorised email address. You are responsible for:

  • Providing accurate and complete registration information, including your full name as it appears on your company identification.
  • Maintaining the confidentiality of your login credentials and not sharing your account with others.
  • All activities that occur under your account.
  • Promptly notifying your administrator or IT department if you suspect any unauthorised access to your account.

Kenbright reserves the right to suspend or terminate accounts that violate these Terms or are no longer associated with active employment.

Acceptable Use

The Kenbright LMS is provided exclusively for authorised employee training and compliance purposes. You agree to use the Platform only for its intended purpose. The following activities are prohibited:

  • Sharing your account credentials with unauthorised individuals.
  • Attempting to access courses, modules, or administrative features for which you are not authorised.
  • Uploading, transmitting, or distributing any malicious software, code, or content.
  • Circumventing or attempting to circumvent any security measures or access controls.
  • Using the Platform for any purpose other than legitimate employee training and compliance activities.
  • Reproducing, distributing, or sharing training materials outside the Platform without prior written consent.

Training & Compliance

As an employee, you may be assigned mandatory courses, policy reviews, and compliance training through the Platform. You are expected to:

  • Complete all assigned courses and quizzes within the specified deadlines.
  • Review and acknowledge mandatory company policies when required.
  • Engage honestly with all assessments — submitting your own work and not seeking unauthorised assistance on quizzes.
  • Maintain up-to-date compliance with all required training modules.

Failure to complete mandatory training or acknowledge required policies within the specified timeframes may result in escalation to your manager, reminders, or other actions in accordance with company policy.

Intellectual Property

All content available on the Kenbright LMS — including but not limited to course materials, training videos, documents, quizzes, assessments, graphics, and software — is the intellectual property of Kenbright Holdings Limited or its licensors. This content is protected by applicable copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the training materials solely for your personal learning and compliance purposes within the scope of your employment. You may not reproduce, modify, distribute, or create derivative works from any Platform content without prior written authorisation.

Data Collection & Privacy

The Kenbright LMS collects and processes certain data to deliver its services effectively. This includes:

  • Account information (name, email, division, department).
  • Course progress and lesson completion records.
  • Quiz scores and assessment results.
  • Policy acknowledgement records and timestamps.
  • Certificate generation and download history.
  • Login activity and platform usage data.

All personal data is handled in accordance with our Privacy Policy and Kenya’s Data Protection Act, 2019. We encourage you to review the Privacy Policy for full details on how your data is collected, used, stored, and protected.

Confidentiality

All training materials, course content, policy documents, and other resources available on the Kenbright LMS are confidential internal resources of Kenbright Holdings Limited. You agree not to disclose, share, copy, or distribute any materials from the Platform to any third party or external entity without prior written authorisation from Kenbright. This obligation of confidentiality survives the termination of your access to the Platform and your employment.

Limitation of Liability

The Kenbright LMS is provided on an “as is” and “as available” basis. While we strive to ensure the Platform is reliable and accurate, Kenbright makes no warranties, express or implied, regarding the availability, accuracy, or completeness of the Platform or its content.

To the maximum extent permitted by applicable law, Kenbright Holdings Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of, or inability to use, the Platform. This includes but is not limited to loss of data, loss of opportunity, or interruption of training activities.

Changes to Terms

Kenbright reserves the right to modify these Terms at any time. When changes are made, the updated Terms will be posted on the Platform with a revised “last updated” date. We may also notify you of significant changes through the Platform’s notification system or via email. Your continued use of the Kenbright LMS after any changes constitutes your acceptance of the revised Terms.
